Article I - Name
The name of this organization is the Minnesota Speech Coaches' Association
Article II - Purpose
The purpose of this organization is to bring together speech coaches and those with an interest in speech activities for the promotion of competitive speech as an educational activity in Minnesota high schools.
Article III - Membership
Section A - Membership
The membership year shall run from September 1 to August 31, coinciding with the CTAM meeting. Dues shall be set by the membership at the recommendation of the Executive Board.
Section B - Regular Membership
Regular membership shall be open to all past and present middle, junior and senior high school speech coaches and assistants in an Minnesota school, public, charter, or private.

Article IV - Officers
The officers of the Association shall consist of a president, a vice-president who shall be president-elect, corresponding secretary, membership secretary/treasurer and information coordinator.
Article V - Executive Board
Section A - Board Membership
The Executive Board shall consist of the officers of the Association and the immediate past president. It shall be the executive authority of the Association.
Section B - Replacement of Officers
Whenever a majority of the Executive Board shall agree that an officer has been grossly negligent of the duties assigned in the bylaws or is incapacitated, they shall declare the office to be vacant and shall immediately name a replacement to fill the unexpired term.

Article VI - Amendments
The Association may adopt amendments to this constitution by a 2/3 vote of those voting at its membership meeting, providing that amendments have been introduced at the preceding membership meeting or have been distributed to the membership or posted on the MSCA web site at least two weeks in advance of the meeting.
Amendments also may be adopted by a mail vote of 2/3 of the responding membership.
